Legal Counsel

AIFC Authority is seeking an experienced Legal Counsel to provide legal support for a strategic large-scale development project. The role will focus on legal structuring, legislative and regulatory matters, land and investment transactions, procurement and management of legal consultants, and preparation of project agreements and legal acts. The successful candidate will work closely with government authorities, investors, external legal advisors, and project stakeholders to support the implementation of the project and ensure compliance with the AIFC legal framework and applicable legislation.

Key Responsibilities:

• Support the procurement and management of external legal consultants, including preparation of procurement documentation and contracts.

• Review, draft, and negotiate contracts, agreements, and other legal documents related to the project.

• Coordinate legal workstreams and monitor deliverables provided by external legal advisors.

• Engage with government bodies regarding the extension and application of the AIFC legal regime to the project territory.

• Conduct legal analysis and prepare recommendations concerning legislative and regulatory matters affecting the project.

• Support legislative drafting and preparation of proposals for regulatory amendments.

• Conduct legal due diligence of land plots and support land-related transactions and registration processes.

• Develop and review project structures, ownership arrangements, and investor participation mechanisms.

• Support the establishment and legal structuring of project entities and investment vehicles.

• Prepare and negotiate project agreements with investors, developers, contractors, and other stakeholders.

• Draft legal acts, government decisions, and supporting documentation required for project implementation.

• Identify, assess, and mitigate legal and regulatory risks throughout the project lifecycle.

• Support the resolution of legal issues, disputes, and claims involving project stakeholders and counterparties.

• Coordinate with internal legal teams, external counsel, government authorities, and other relevant parties on project-related matters.

• Provide comprehensive legal advice and support throughout all stages of project development and implementation.

Requirements:

• Bachelor's degree in Law (LL.M. or other postgraduate legal qualification is an advantage).

• Minimum 7 years of experience in investment, corporate, real estate, land law, PPP, or related legal practice.

• Strong knowledge of AIFC law and English common law principles.

• Experience in legislative drafting and interaction with government authorities.

• Experience supporting large-scale investment, development, infrastructure, or real estate projects.

• Strong contract drafting, legal analysis, and negotiation skills.

• Ability to manage complex stakeholder relationships, including government bodies, investors, and external counsel.

• Proficiency in Microsoft Office applications and legal research tools.

• Strong analytical, problem-solving, organizational, and project management skills.

• Fluency in English, Russian, and Kazakh.
